Terms And Conditions

Last Updated: September 2026

These Terms and Conditions govern the use of services provided by SocialMate Agency. By purchasing or using any service provided by SocialMate Agency, you agree to these Terms and Conditions.

SocialMate Agency provides website creation, website management, Google Business Profile optimisation, social media management and related digital services.

1. Definitions

In these Terms and Conditions:

“SocialMate Agency”, “we”, “us” or “our” means SocialMate Agency.

“Client”, “you” or “your” means the individual, business or organisation purchasing or using our services.

“Services” means any website creation, website management, Google Business Profile optimisation, social media management or other digital services agreed between SocialMate Agency and the Client.

“Agreement” means the agreement between SocialMate Agency and the Client for the provision of Services.

2. Services

SocialMate Agency will provide the Services agreed with the Client.

The exact scope of work, features, deliverables, timescales and pricing may vary depending on the service purchased and will be communicated to the Client before work begins.

Any work outside the agreed scope may be subject to an additional charge.

We reserve the right to refuse work that is illegal, fraudulent, misleading, abusive, harmful or otherwise inappropriate.

3. Payments

Payment must be made by the date stated on the relevant invoice or payment agreement.

The Client is responsible for ensuring that payments are made on time.

Where a service requires an upfront payment, work may not begin until the required payment has been received.

Where a service is provided on a recurring basis, payment must continue for as long as the Client remains subscribed to the service, subject to the agreed cancellation or termination terms.

4. Late Payments

For each calendar day that a payment remains overdue, an additional £5 late payment charge may be added to the outstanding amount, where permitted by applicable law and the agreed contract.

The £5 charge begins from the day after the agreed payment deadline and may continue for each day that the payment remains outstanding.

For example, a payment that is 3 days late may incur an additional £15 in late charges.

We may also suspend Services, restrict access to managed services or pause ongoing work where an invoice remains unpaid.

For business-to-business transactions, statutory late-payment rights may also apply. UK legislation provides statutory interest for qualifying commercial debts, generally at 8% above the Bank of England base rate, unless the contract contains a substantial alternative remedy.

Where a Client is a consumer rather than a business, any late-payment charge must comply with applicable consumer law and fairness requirements.

5. Invoices and Payment Disputes

If you believe an invoice is incorrect, you should contact SocialMate Agency as soon as possible and explain the reason for the dispute.

An invoice should not simply be ignored because the Client believes an issue exists.

Where an invoice is genuinely disputed, we will review the matter and attempt to resolve it reasonably.

6. Website Creation

Website creation includes the work specifically agreed with the Client.

The Client is responsible for providing accurate information, images, logos, branding, written content and other materials required to complete the website unless content creation has specifically been included in the agreed service.

Delays in supplying required materials may affect the completion date.

SocialMate Agency may use suitable third-party tools, plugins, themes, hosting providers or other technologies where necessary to build or operate a website.

Third-party products or services may have their own terms, conditions and charges.

7. Website Revisions

The number of revisions included within a website project will depend on the agreed package or quotation.

Requests that substantially change the original design, structure, functionality or scope may be treated as additional work and may incur additional charges.

SocialMate Agency is not responsible for delays caused by repeated changes, late feedback or failure to provide required information.

8. Website Management and Maintenance

Website management covers the services specifically agreed with the Client.

This may include content changes, image updates, page edits, service updates and other general website changes.

Website management does not automatically include major redesigns, development of new complex functionality, third-party software costs, hosting costs, domain costs or other work unless specifically agreed.

The Client remains responsible for ensuring that information supplied for publication is accurate and lawful.

9. Google Business Profile Optimisation

SocialMate Agency may provide Google Business Profile optimisation and related local search services.

We will make reasonable efforts to improve the quality, completeness and presentation of the Client’s online business information.

However, we do not guarantee a particular Google ranking, position, number of calls, number of enquiries, reviews, traffic or revenue.

Google controls its own search results, ranking systems, policies and platform features. Changes made by Google or other third parties may affect the results of optimisation work.

The Client must provide accurate and truthful business information.

We will not knowingly create or submit false business information, fake reviews or misleading content.

10. Social Media Management

Social media management includes only the platforms, content and services agreed with the Client.

The Client is responsible for ensuring that all information about their business, products and services is accurate.

SocialMate Agency may require access to the Client’s social media accounts in order to provide the service.

The Client must provide appropriate account access and must not knowingly provide false credentials or information.

We cannot guarantee a particular number of followers, views, likes, comments, enquiries, leads or sales as social media performance is affected by platform algorithms, audience behaviour, competition and other factors outside our control.

11. Client Responsibilities

The Client agrees to:

Provide accurate information and materials.

Provide necessary access to websites, social media accounts or other platforms where required.

Respond to requests for approval or information within a reasonable period.

Ensure that materials supplied to SocialMate Agency do not infringe copyright, trademarks, privacy rights or other legal rights.

Ensure that their products, services and business activities comply with applicable laws.

The Client remains responsible for the accuracy and legality of information they provide.

12. Intellectual Property

Unless otherwise agreed in writing, ownership of final website work created specifically for the Client will transfer to the Client only after all amounts due to SocialMate Agency have been paid in full.

Until full payment has been received, SocialMate Agency may withhold delivery, publication, transfer or access to completed work.

SocialMate Agency retains ownership of its pre-existing materials, development methods, templates, reusable components, systems, processes and general know-how unless otherwise agreed.

Third-party software, plugins, fonts, images, stock assets and other licensed materials remain subject to their respective licences.

13. Client-Supplied Materials

The Client confirms that they have permission to use any photographs, logos, text, videos, graphics, trademarks or other materials supplied to SocialMate Agency.

The Client agrees to indemnify SocialMate Agency against claims arising from materials supplied by the Client where the Client did not have the required rights or permissions.

14. Domain Names and Hosting

Domain registration, hosting, premium plugins, software licences and other third-party costs are not automatically included unless specifically stated.

Where SocialMate Agency manages a domain or hosting service on behalf of the Client, the Client remains responsible for any applicable renewal or third-party charges.

Failure to pay third-party renewal costs may result in a domain, hosting account or related service expiring.

15. Website Content and Compliance

The Client is responsible for ensuring that the content, products, services, pricing, claims and information displayed on their website comply with applicable laws and regulations.

SocialMate Agency does not provide legal, financial or regulatory advice unless expressly agreed as a separate professional service.

The Client should obtain appropriate professional advice regarding privacy policies, cookie notices, terms and conditions and other legal requirements applicable to their particular business.

16. Cancellation and Termination

A Client may request cancellation of a service by contacting SocialMate Agency.

Cancellation terms for recurring services may depend on the specific agreement entered into with the Client.

Outstanding invoices remain payable following cancellation.

Where a Client has cancelled after work has already commenced, payments may not be refundable for work already completed or costs already incurred, subject to applicable law.

SocialMate Agency may terminate or suspend Services where the Client fails to pay, breaches these Terms and Conditions, provides unlawful materials, abuses our staff or otherwise seriously breaches the Agreement.

17. Refunds

Refund eligibility depends on the nature of the service, the stage of work and the circumstances of the cancellation.

Where work has already been completed or third-party costs have been incurred, those amounts may not be refundable, subject to applicable consumer rights.

Nothing in these Terms and Conditions removes or limits any legal rights that cannot lawfully be excluded.

18. Service Availability

We will make reasonable efforts to provide Services reliably.

However, we are not responsible for interruptions caused by circumstances outside our reasonable control, including hosting providers, domain registrars, social media platforms, Google, internet service providers, software providers, cyberattacks, technical failures or other third-party services.

19. Limitation of Liability

Nothing in these Terms and Conditions excludes or limits liability where doing so would be unlawful.

Subject to that, SocialMate Agency will not be responsible for indirect or consequential losses, loss of profits, loss of business, loss of revenue, loss of anticipated savings or loss of opportunity arising from the Services.

We do not guarantee that Services will produce a particular financial result, ranking, number of customers, leads or sales.

The Client is responsible for making appropriate backups of their own business data unless backup services have specifically been included in the agreed service.

20. Confidentiality

Both parties agree to keep confidential information received from the other party confidential and not disclose it unnecessarily to third parties.

This does not apply where disclosure is required by law or where information is already publicly available.

21. Communication

The primary contact email for SocialMate Agency is:

The Client is responsible for providing accurate contact information and checking communications relating to their Services.

22. Changes to Services

SocialMate Agency may update, improve or modify its Services from time to time.

Where a change materially affects an existing Client’s agreed service, we will provide appropriate notice where reasonably possible.

23. Changes to These Terms

SocialMate Agency may update these Terms and Conditions from time to time.

The latest version will be published on this website.

The version applicable to an existing agreement will be considered alongside any specific contractual terms agreed between SocialMate Agency and the Client.

24. Governing Law

These Terms and Conditions are governed by the laws of England and Wales, unless applicable law requires otherwise.

Any disputes will be dealt with by the courts of England and Wales, subject to any mandatory rights available to consumers.
